Terms of Service
These Terms of Service ("Terms") form a binding agreement between you (the customer, workspace owner, or authorized user) and SocialSignalBoard ("Company", "we", "our"). By creating an account, accessing, or using the Services, you agree to these Terms. If you are accepting on behalf of an organization, you represent that you have the authority to bind that entity.
1. The Services
SocialSignalBoard provides software and APIs to manage social media content, analytics, and engagement workflows. We may update or modify the Services from time to time. Certain beta or preview features may be labeled as such and provided without warranty.
2. Accounts & Eligibility
- You must be at least 16 years old to create an account.
- You are responsible for maintaining the confidentiality of login credentials and for all activities under your account.
- Workspace owners control membership and data retention. If you access the Services through your employer or another entity, that organization may control your account.
3. Acceptable Use
You agree not to misuse the Services. Prohibited activities include:
- Violating any applicable laws or platform policies (e.g., Twitter/X terms of service).
- Attempting unauthorized access, security testing, or reverse engineering of the Services.
- Transmitting spam, malware, or content that is unlawful, defamatory, or infringing.
- Using the Services to create deceptive or automated social media activity without necessary consent.
We may suspend or terminate accounts that breach these Terms or pose a security risk to other customers.
4. Customer Data
"Customer Data" includes any information, content, or materials you or your end users submit to the Services. You retain ownership of Customer Data. You grant SocialSignalBoard a limited license to host, process, transmit, and display Customer Data solely to provide and support the Services, including AI-assisted features you enable.
You represent that you have obtained all necessary rights and consents to submit Customer Data and to authorize us to process it on your behalf.
5. Third-Party Services
The Services integrate with third-party platforms (e.g., Twitter/X, Stripe, Clerk). Your use of those services is subject to their separate terms. We are not responsible for third-party offerings and may disable integrations that violate platform policies or risk user security.
6. Fees & Payment
Paid plans are billed in advance, in the currency and cadence stated during checkout. Fees are non-refundable except as required by law. You authorize us (and our payment processor, Stripe) to charge the payment method on file for recurring subscription fees, overages, and applicable taxes. We may suspend accounts with delinquent balances.
7. Term & Termination
- You may cancel your subscription at any time via the billing portal; the plan will remain active until the end of the current term.
- We may terminate or suspend access immediately for violations of these Terms or if required by law.
- Upon termination, we will make reasonable efforts to allow workspace owners to export Customer Data for 30 days.
8. Confidentiality
Each party agrees to protect confidential information disclosed by the other party and to use it only for purposes permitted under these Terms. This obligation survives termination.
9. Warranties & Disclaimers
To the fullest extent permitted by law, the Services are provided "as is" and "as available". We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free, or that the AI outputs will be accurate or compliant for your specific use case.
10. Limitation of Liability
To the extent permitted by law, SocialSignalBoard's total liability under these Terms is limited to the fees paid in the twelve months preceding the claim. Neither party will be liable for consequential, incidental, indirect, special, or punitive damages, even if advised of the possibility of such damages.
11. Indemnification
You agree to indemnify and hold harmless SocialSignalBoard, its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses arising out of or related to your use of the Services, Customer Data, or violation of these Terms.
12. Updates to These Terms
We may update these Terms to reflect product improvements, legal changes, or other adjustments. When we make material updates, we will notify account owners by email or in-product messaging. Continued use of the Services after the effective date constitutes acceptance of the revised Terms.
13. Governing Law & Disputes
These Terms are governed by the laws of the State of Delaware and applicable U.S. federal law, without regard to conflicts of law principles. The parties consent to exclusive jurisdiction in the state and federal courts located in San Francisco County, California, USA.
